The recently aproved Presidential Decree No. 153/16, of 5 August 2016, has now regulated two new special procedures for company incorporation, as provided for by the Law on Simplified Companies Incorporation Procedures, namely: in person on-site incorporation and on-line incorporation.
Incorporating companies through these new procedures will be fast (within one or two days) and simple (standard by-laws and corporate names are selected from a pre-approved official list). Nevertheless, foreign entities cannot use these procedures to incorporate companies subject to the Private Investment Law.
Presidential Decree No. 153/16 of 5 August 2016 entered into force on that date but on-line incorporation procedures are still dependent inter alia on software implementation and electronic signature certificates development.
