End of the Obligation to Legalize Minutes Books
Aimed at simplifying the company incorporation procedures and boost the business environment, Law No. 7/21, of 14 April 2021, has abolished the need to legalize the General Assembly’s minutes books by the Registrar of Companies. Henceforth, minutes books only need to be initialized either by (i) the members of the management; (ii) the members of the relevant corporate body; or (iii) the Chairman of the Board of General Assembly, who shall also be responsible for drafting the relevant opening and closing statements. Also, when made up of loose-leaves, minutes books should be bound after being used and its closing term has been drafted.
